🇺🇸 United States (Flagship)+

US LLC — member-managed vs manager-managed. When forming an LLC you choose a management structure. Member-managed (the default in most states) gives every owner the right to make decisions and sign contracts. Manager-managed hands day-to-day operations to one or more named managers — useful when owners are passive investors, and in states like Wyoming that ask you to list members or managers, a manager-managed setup can help protect owner privacy.

You will also need a Registered Agent, an EIN, and a real principal business address (not the registered-agent address) for banking. U.S. tax reporting (e.g. Form 5472 for foreign-owned single-member LLCs) is a separate annual obligation — see the note below.

🇬🇧 United Kingdom+

UK Ltd (private limited company). A limited company is a separate legal entity: your personal assets are protected, and you have a share structure with directors (who manage) and shareholders (who own). You register with Companies House.

You will need a registered office, at least one director and one shareholder, and annual filing of confirmation statements and accounts. A UK company is subject to UK Corporation Tax on its profits.

🇸🇬 Singapore+

Singapore Pte. Ltd. The private limited company is Singapore's most common business vehicle, offering limited liability and a single corporate tax rate. It must have at least one local resident director (a Singaporean, PR, or Employment Pass holder).

You will need to appoint a company secretary, a registered office address, and file annual returns with ACRA. Compliance is strict but the tax regime is among the most favourable in Asia (territorial taxation, no capital gains tax).

🇭🇰 Hong Kong+

Hong Kong company (Ltd). A limited company is registered with the Companies Registry. It must have a registered office in Hong Kong and at least one director and one shareholder (can be foreign individuals or companies).

You will also need a Company Secretary (an individual resident in HK or a licensed corporate service provider). Hong Kong has a territorial profits tax system — profits sourced outside HK are generally not taxed.

🇦🇪 UAE (Dubai)+

Dubai mainland vs Free Zone. A free-zone company allows 100% foreign ownership and is ideal for e-commerce, trading and holding companies — you register with the free zone authority (e.g. DMCC, JAFZA). A mainland company may need a local partner/agent depending on the activity.

Estonia e-Residency + company. Estonia lets non-residents start an EU company remotely via e-Residency (a digital ID). The (private limited company) is registered with the e-Business Register and can be managed fully online.

You will need a designated contact person / location for service of process, and you pay no corporate income tax on retained and reinvested profits (only on distributed dividends) — a highly attractive digital-first EU option.
